Simon has recently been appointed as a partner to head up our Company and Commercial team.
Simon undertook his postgraduate studies and training in Exeter and joins us from the Bristol office of national law firm Beachcroft LLP.
During his time at Beachcroft LLP Simon’s experience included full time secondments with Capgemini UK Limited and Zurich Life. Prior to that Simon gained experience at Osborne Clarke LLP, Wincanton plc and Lloyds TSB Bank plc.
Having worked in both private practice and in house, for both owner managed businesses and large corporates, Simon fully understands the underlying need to give pragmatic, commercial and uncomplicated advice, tailored to the unique requirements, and risk appetites, of each individual client’s business.
Simon has advised on various corporate transactions, including:
- The sale of the subsidiary of a US-based international logistics provider;
- The sale of City Plumbing Supplies plc to Travis Perkins plc;
- The sale of an independent financial advisor to a national high street bank;
- Various acquisitions and earn outs for a national facilities management service provider;
- A rights issue for an AIM listed luxury goods manufacturer;
- Various MBO’s MBI’s, private equity investments, joint ventures, articles of association and shareholders agreements;
- share and business acquisitions and disposals, and company start-ups, ranging from theme park owners to electronic chip manufacturers to car dealerships;
- Setting up partnerships and LLP incorporations.
Simon has advised extensively on various commercial matters, including advising:
- Wincanton plc on all aspects of corporate, IT/IP commercial, sponsorship and outsourcing agreements, as service provider and recipient;
- Lloyds TSB on consumer issues and sponsorships including an agreement in relation to a Super League rugby league team;
- an international IT outsourcing provider on a number of high value complex IT outsourcing agreements with a National energy supplier, a chain of national news agents, and an independent television company;
- a Bristol based national facilities management service provider in relation to the facilities management for Heathrow’s Terminal 4 project;
- a global bank on its UK outsourcing of employee benefit services and underlying contracts;
- a global life assurer in relation to custody agreements, fund management platform agreements and FSA material outsourcing agreements; and
- Hampshire PCT on the largest PCT “provider arm” disposal in the country;
- GP’s, PCTs and foundation trusts on various commercial and procurement matters.
